Introduction
These Terms and Conditions (the “Terms”) govern membership and participation in the ImpactEleven Community (the “Community”) along with all other ImpactEleven products, services and events. By becoming a member or by purchasing/attending any ImpactEleven product, service or event , you agree to abide by these Terms. Please read them carefully.
Membership
1. Eligibility
Membership in the Community is open to individuals who are paid professional speakers or those who desire to be paid professional keynote speakers. By applying for membership, you represent and warrant that you meet these eligibility criteria.
2. Registration
To become a member of the Community, you must complete the registration process by providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of all accounts and passwords.
3. Membership Fees
Membership fees are outlined at the time of joining and are payable in advance on a monthly or annual basis based upon the tier of membership selected. By joining, you agree and commit to paying all membership fees associated with your account until the end of your membership term. Once a membership term commences it is non-cancelable. Failure to pay membership fees may result in suspension or termination of your membership but does not absolve you of the obligation to pay your outstanding fees from your suspended or terminated membership.
4. Automatic Renewal, Upgrades, and Downgrades
Your annual membership will automatically renew at the end of the membership term unless you provide written notice of your intent to cancel at least thirty (30) days prior to the end of the membership term by sending an email to community@impacteleven.com. Your annual membership will renew at the same membership tier (or its current membership tier equivalent) at then current rates, which will not increase by more than 10% as compared to your prior membership term without prior written notice.
You may upgrade your membership tier at any time. This will create a new 12-month membership agreement and any unrealized fees will be applied towards the new membership agreement. If you wish to downgrade your membership tier, this can be done at renewal by sending an email to community@impacteleven.com at least thirty (30) days prior to the end of the membership term.
Code of Conduct
5. Respectful Behavior
Members are expected to treat each other with respect and kindness. Harassment, discrimination, and abusive behavior of any kind whatsoever are strictly prohibited. Any violation of this code may result in suspension or termination of your membership at the sole discretion of ImpactEleven.
6. Confidentiality
Members may have access to sensitive information shared within the Community. You agree to maintain strict confidentiality of such information and not disclose it to third parties without prior express permission to do so.
7. Content and Contributions
By contributing content (posts, comments, articles, presentations, etc.) to the Community, you grant ImpactEleven a non-exclusive, royalty-free, worldwide license to use, modify, and distribute your content for the purpose of operating the Community. You are responsible for ensuring that your content does not violate any third-party rights, including intellectual property rights.
8. Prohibited Activities
Members are prohibited from engaging in illegal activities, spamming, advertising or soliciting without permission, uploading harmful or malicious content, or the impersonation of others.
9. Discrimination, Harassment and Retaliation
ImpactEleven strictly prohibits and does not tolerate discrimination or harassment of or against its members, prospective members, clients, employees, investors, owners, partners or any third party on the basis of race, color, creed, religion, national origin, ancestry, citizenship status, age, sex, gender (including pregnancy, childbirth and related medical conditions), sexual orientation, marital status, military service and veteran status, physical or mental disability, genetic information, or any other characteristic protected by applicable federal, state, national, or local law.
Harassment is defined in this policy as unwelcome verbal, written, or physical conduct that denigrates and/or shows hostility or aversion towards an individual on the basis of such individual’s protected characteristic when:
Submission to that conduct is made either explicitly or implicitly a term or condition of an individual's membership in ImpactEleven;
Submission to or rejection of the conduct by an individual is used as the basis for membership decisions affecting the individual;
The conduct unreasonably interferes with an individual’s ability to enjoy the benefits of their ImpactEleven membership or otherwise participate in the ImpactEleven Community by creating an intimidating, hostile, or offensive environment for such individual.
Harassment can be verbal (including slurs, jokes, insults, epithets, or teasing), written (including offensive posters, symbols, cartoons, drawings, computer displays, text messages, instant messages, social media posts/comments or emails) or physical conduct (including physical threats, blocking someone’s way, offensive gestures, etc). Any such conduct meeting this definition violates this policy, even if it is not unlawful. Members are expected to behave at all times in a manner consistent with the intended purpose of this policy.
Sexual harassment can include all of the above actions, as well as other unwelcome conduct, such as unwelcome or unsolicited sexual advances, requests for sexual favors, conversations regarding sexual activities, and other verbal or physical conduct of a sexual nature when:
The conduct or advances or requests have the purpose or effect of unreasonably interfering with an individual’s ability to participate as a member or creating an intimidating, hostile, or offensive environment; or
Submission to that conduct or those advances or requests is made either explicitly or implicitly a term or condition of an individual's membership; or
Submission to or rejection of the conduct or advances or requests by an individual is used as the basis for membership decisions affecting the individual.
These policies are not limited to harassment at ImpactEleven sponsored activities, but extend to social media, personal interactions, and other interactions between members if the persons are interacting under the auspices of ImpactEleven or through use of their status as ImpactEleven members. In addition, to the extent members’ family members, friends, business associates, prospective members, or other guests attend ImpactEleven sponsored activities, members are responsible for ensuring that they comply with this policy.
Retaliation means adverse conduct taken because an individual reported an actual or perceived violation of this policy, opposed practices prohibited by this policy, or participated in the reporting and investigation process described below. Adverse conduct includes but is not limited to any action that would discourage a member from reporting discrimination, harassment or retaliation; shunning and avoiding an individual who reports discrimination, harassment or retaliation; express or implied threats or intimidation intended to prevent an individual from reporting discrimination, harassment or retaliation; and denying membership benefits because a member or prospective member reported discrimination, harassment or retaliation or participated in the reporting and investigation process described below.
Allegations of member violations involving discrimination, harassment, or retaliation must be immediately raised by sending an email to governance@impacteleven.com.
ImpactEleven cannot remedy claimed discrimination, harassment or retaliation/victimization unless members bring these claims to the attention of ImpactEleven. We encourage all members to report any conduct which they believe violates this policy. Together, we will work to ensure that ImpactEleven functions provide a respectful and professional environment for all.
Termination
10. Termination by ImpactEleven
ImpactEleven reserves the right to suspend or terminate your membership at any time, with or without notice, for any violation of these Terms or other conduct that we deem harmful to the Community in its sole and absolute discretion.
11. Termination by the Member
You may terminate your membership at any time by sending an email to community@impacteleven.com. Please note that all membership fees are non-refundable and are due in full at the time of termination.
Limitation of Liability
12. Disclaimer of Warranties
The Community and its services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the operation of the Community, including but not limited to the accuracy of content or the reliability of services.
13. Limitation of Liability
To the fullest extent permitted by law, ImpactEleven will not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Community. Our total liability will not exceed the total amount of membership fees you have paid in the current membership term.
Modifications
14. Amendments to the Terms
We reserve the right to modify these Terms at any time. Any changes will be posted on the Community platform, and it is your responsibility to review the Terms periodically. Continued use of the Community after modifications constitutes acceptance of the updated Terms.
Governing Law
15. Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan. The parties hereby consent to the exclusive jurisdiction of the State and Federal courts in the State of Michigan, Eastern District, County of Oakland to adjudicate any dispute that may arise between them.
